1. Introduction & Acceptance of Terms

These Terms and Conditions (“Terms”) govern the use of the website and services provided by HH Consultancy Services (pty) Ltd, owned and operated by Heidi Hartley.

By accessing or using this website, submitting information, uploading documentation, or engaging with our services, you agree to be bound by these Terms and Conditions.These Terms apply to all website users, including but not limited to clients, candidates, applicants, employers, and general visitors. If you do not agree with these Terms, you must refrain from using this website and our services.

2. SCOPE OF SERVICES

The Company provides professional services including, but not limited to:

2.1 Recruitment & Talent Acquisition

  • Workforce planning and strategic talent mapping

  • End-to-end recruitment management (role scoping to post-placement integration)

  • Executive search and retained search partnerships

  • Specialist, scarce and critical skills placements

  • Mass recruitment and project-based hiring campaigns

  • Permanent, temporary, fixed-term and contract placements

  • Offer management and negotiation facilitation

  • Salary benchmarking advisory

  • Employer branding advisory

  • Candidate experience optimisation

  • Onboarding advisory, digital onboarding tools and induction programme development

The Company acts as an intermediary between Clients and Candidates.

The Company does not guarantee:

  • Employment for any Candidate

  • That any vacancy will be filled

  • Continued employment of placed Candidates

  • Candidate performance or business outcomes

Final hiring decisions remain solely the responsibility of the Client.

2.2 HR Advisory Services

Services may include:

  • Establishment of HR functions

  • HR governance structuring

  • Development of employment contracts

  • HR policies, procedures and Codes of Conduct

  • Organisational structuring and role clarification

  • Workforce optimisation

  • HR strategy alignment

  • Leadership advisory on people management

  • Change management initiatives

  • Culture alignment programmes

The Company provides advisory and implementation support but does not assume responsibility for internal management decisions taken by the Client.

2.3 Employee Relations & Workplace Risk Management

Services may include:

  • Disciplinary hearings and formal consultations

  • Workplace investigations

  • Misconduct management

  • Warnings and corrective action frameworks

  • Behavioural and performance interventions

  • CCMA preparation and case management support

  • Mutual separation agreements

  • Structured exit management

The Company provides professional advisory and facilitation services. Final employment decisions and legal compliance remain the responsibility of the Client.

The Company does not guarantee outcomes in dispute proceedings, CCMA rulings, arbitration, or litigation.

3. Candidate Responsibilities

3.1 Candidates warrant that all information provided to HH Consultancy Services (pty) Ltd, including but not limited to CVs, qualifications, certifications, references, employment history, identity documentation, and supporting documents, is true, accurate, and not misleading.

3.2 HH Consultancy Services Ltd reserves the right to verify any information supplied by a Candidate.

3.3 Candidates acknowledge that submission of their CV or application does not guarantee placement, employment, or interview opportunities.

3.4 Candidates consent to their personal information being shared with prospective employers for recruitment purposes, subject to applicable data protection laws.

3.5 HH Consultancy Services Ltd shall not be liable for employment decisions made by Clients or for any contractual disputes arising between a Candidate and a Client.

4. Client Responsibilities

4.1 Clients agree to provide accurate and complete information regarding vacancies, job specifications, remuneration, reporting structures, and working conditions.

4.2 Clients warrant that they comply with all applicable labour legislation and employment laws of the Republic of South Africa.

4.3 Clients agree not to directly or indirectly approach, solicit, or employ any Candidate introduced by HH Consultancy Services (pty) Ltd without payment of the applicable placement fee.

4.4 If a Client employs a Candidate introduced by HH Consultancy Services (pty) Ltd within 12 (twelve) months of introduction — whether directly, indirectly, or through a third party — the full placement fee shall become immediately due and payable.

4.5 Detailed commercial terms may be governed by a separate Service Level Agreement (SLA) or signed placement agreement where applicable.

5. Fees & Payment Terms

5.1 Placement fees are payable upon the Candidate’s commencement date, unless otherwise agreed in writing.

5.2 Invoices are payable within 14 (fourteen) days of invoice date.

5.3 Failure to make payment within the stipulated period may result in suspension of services and/or legal recovery proceedings.

5.4 HH Consultancy Services (pty) Ltd reserves the right to charge interest on overdue accounts at the maximum rate permitted by law.

5.5 All fees are exclusive of VAT unless otherwise stated.

CONTINGENCY FEE- ALL POSITIONS ACROSS THE BOARD

The fee is based on the candidate's total annual cost to company package. This includes all fixed monthly allowances, and other related tax benefits offered in addition to the fixed basic salary. Such allowances and benefits include Employer's Medical Aid and Pension, Retirement and Provident Fund contributions are included in the total annual cost to company package.

6. Confidentiality

6.1 All Candidate information provided to Clients is strictly confidential.

6.2 Clients may not share Candidate CVs, personal details, or related documentation with third parties without prior written consent from HH Consultancy Services (pty) Ltd and/or the Candidate.

6.3 All business information shared between parties shall be treated as confidential and may not be disclosed without prior written consent, unless required by law.

7. Data Protection & POPIA Compliance

7.1 HH Consultancy Services (pty) Ltd collects and processes personal information in accordance with the Protection of Personal Information Act (POPIA) of South Africa.

7.2 Personal information is collected for recruitment, placement, vetting, HR consulting, and related business purposes.

7.3 Personal information may be shared with Clients, verification agencies, and relevant third parties strictly for legitimate recruitment purposes.

7.4 Individuals have the right to request access to, correction of, or deletion of their personal information, subject to legal and contractual obligations.

7.5 A separate Privacy Policy forms part of these Terms and Conditions and should be read in conjunction herewith.

8. Intellectual Property

8.1 All content on this website, including text, branding, logos, documents, and materials, is the intellectual property of HH Consultancy Services (pty) Ltd.

8.2 No content may be copied, reproduced, distributed, or used without prior written consent.

9. Limitation of Liability

9.1 HH Consultancy Services (pty) Ltd shall not be liable for:

  • Any indirect, consequential, or special damages

  • Loss of profits, revenue, or business opportunities

  • Hiring decisions made by Clients

  • Misrepresentation by Candidates

  • Website downtime or technical errors

9.2 Liability, where applicable, shall in all circumstances be limited to the placement fee paid for the relevant Candidate.

10. Indemnity

Users agree to indemnify and hold harmless HH Consultancy Services (pty) Ltd, its directors, employees, and representatives against any claims, damages, liabilities, costs, or expenses arising from:

  • Breach of these Terms

  • Misrepresentation of information

  • Unlawful conduct

  • Violation of employment or labour legislation

11. DATA PROTECTION & POPIA COMPLIANCE

The Company processes personal information in accordance with the Protection of Personal Information Act (POPIA).

Information may be collected for:

  • Recruitment

  • HR advisory

  • Employee relations services

  • Verification and compliance

  • Billing and contractual purposes

Information may be shared with:

  • Prospective employers

  • Verification agencies

  • Legal or regulatory authorities

The Company does not sell personal information.

Data subjects may:

  • Request access to their information

  • Request correction

  • Request deletion (subject to legal obligations)

  • Lodge a complaint with the Information Regulator

12. Termination of Services

HH Consultancy Services (pty) Ltd reserves the right to:

  • Refuse service

  • Terminate agreements

  • Remove listings or Candidate profiles

  • Suspend website access

In the event of material breach of these Terms.

13. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any disputes arising shall be subject to the jurisdiction of the competent courts of South Africa, including the High Court of Gauteng, where applicable.

14. Amendments

HH Consultancy Services (pty) Ltd reserves the right to amend these Terms and Conditions at any time. Updated Terms will be published on the website and continued use of the website or services constitutes acceptance of the revised Terms.
